Ethics and Business Conduct Policy

“Our success depends on the success of our customers.”
David Fisher, President, S&H Machine

Purpose: The purpose of the policy is to define what ethics means to S&H Machine to help guide how we act and operate.

Description / Information:

The policy of S&H Machine, Inc. is to comply with all governmental laws, rules, and regulations applicable to its business.  Ethics are the moral principles that govern a person or groups’ behavior along with setting out the values and responsibilities of the organization.

Our ethical principles are the values that set the ground rules for all that we do as employees of S&H Machine, Inc. As we seek to achieve responsible commercial success, we will be challenged to balance these principles against each other, always mindful of our promise to shareholders, employees, customers and vendors that we will achieve responsible commercial success through ethical standards.

At S&H we recognize the importance of credibility, integrity and trustworthiness to our success as a business. We are committed to upholding high ethical standards in all our operations. We believe in the principles of honesty, fairness, and respect for individual freedoms.

Our Ethics policy does not stop there. Even where the law is permissive, the Corporation chooses the course of highest integrity. A well-founded reputation for scrupulous dealing is itself a priceless corporate asset.

We care how results are obtained, not just that they are obtained. Management and employees should deal fairly with each other and with our suppliers, customers, competitors, and other third parties.  We expect compliance with our standard of integrity throughout the organization and will not tolerate employees who achieve results at the cost of violation of law or who deal unscrupulously. We expect candor from employees at all levels and adherence to policies and internal controls.

S&H Ethical principles are:

Honesty & Integrity – The success of our business is dependent on the trust and confidence we earn from our employees, customers and shareholders. We gain credibility by adhering to our commitments, displaying honesty and integrity and reaching company goals solely through honorable conduct. It is easy to say what we must do, but the proof is in our actions.

Respect for Others – Employees are expected to be considerate and polite to co-workers, customers, suppliers and visitors. We value a workforce built on mutual respect for on another. We confront every fear or perceived conflict with the mindset to solve it amicably and move on.

Fairness & Compassion – We practice fairness and compassion to work to build healthy interpersonal relationships among each other. All employees receive an equal opportunity to be recognized and heard in the workplace. We aim to have a common purpose of making S&H an enjoyable place to work, grow and support each other in our endeavors.

Accountability – We encourage a team that is willing and able to accept responsibility for their actions and learn from the experience. Owning our actions or decisions, and being vulnerable to both the benefits and the consequences, is a requirement for building a healthy organization.

Transparency – We strive for transparency by communicating openly and honestly with our employees about the wellbeing of the company. Through transparency, we can celebrate our accomplishments, overcome challenges and achieve success together.

When faced with a difficult ethical decision, ask yourself the following questions to determine whether the action you are considering is appropriate:

  • Am I adhering to the company’s policies and all applicable laws and regulations?
  • Is my action consistent with the company values and principles set forth in our policy?
  • Would I be acting in the best interests of the Company, my co-workers, and our customers?
  • What would my family and friends think of my action?
  • Would I want my action reported on the front page of a newspaper or on the internet?
